How to Start an LLC in Indiana (2026)
Last updated: August 28, 2026
Quick note: we're operators, not attorneys or accountants. This is general educational info, not legal or tax advice. If you run the business from home, Indiana has an option to keep your home address off the public filing. See step 1.
Indiana is a middle-of-the-road state on cost and one of the friendliest on paperwork, because the report is biennial instead of annual. Here is the whole process in plain English, written for people starting something real like a courier route.
How to start a Indiana LLC in 6 steps
Name it, appoint an Indiana registered agent, file the Articles through INBiz ($100), write an operating agreement, get a free EIN, then file the $32 Business Entity Report every two years.
Name your Indiana LLC (and decide on the address)
The name must include "Limited Liability Company" or an abbreviation, and be distinguishable from other Indiana entities. Check it in the Indiana business search first. If you work out of your home, this is also where you use the remote-business checkbox described above so your home address is not the published principal office.
Appoint an Indiana registered agent
Indiana asks you to name either a commercial registered agent (a registered service) or a noncommercial registered agent (you or another person) with an Indiana street address. The form has a box confirming the agent has consented. Northwest includes agent service free the first year with their $39 filing.
File the Articles of Organization through INBiz
File State Form 49459 with the Secretary of State. The stated filing fee is $100. Online through INBiz is the fastest route; INBiz adds a small card processing fee at checkout (minimum $1, capped at 2.15%).
Write an operating agreement
Indiana does not require one, but write it anyway. It records ownership, management, and signing authority, it supports your liability protection, and banks usually want to see it before opening the account. A simple template is enough for one owner.
Get a free EIN from the IRS
Your EIN is free at irs.gov and takes about ten minutes. You need it for the business bank account, contracts, and hiring. Never pay a third-party site for one.
File the Business Entity Report every two years
Indiana LLCs file a Business Entity Report every other year, not annually. It costs $32 online or $50 on paper and is due in your anniversary month, with the rest of that month as grace. Skip it and the state can administratively dissolve the LLC.
Indiana LLC cost breakdown
$100 to form and $32 every second year. Indiana has one of the lightest ongoing loads in the country.
