How to Start an LLC in Nevada (2026)

Last updated: August 28, 2026

To start a Nevada LLC, file the Articles of Organization with the Nevada Secretary of State for $75, but budget $425 total: Nevada also charges a $150 initial list of managers or managing members and a $200 state business license, both due with the formation. Every year after that you pay $350 ($150 annual list plus $200 license) by the last day of your anniversary month.

Nevada has a reputation as a tax haven for LLCs, and it does have no state income tax. It also has one of the highest total costs to form and maintain an LLC in the country, and the advertised $75 fee is less than a fifth of what you actually pay. Here are the real numbers, written for people starting something real like a courier route.

Do not form here just because someone said "no state income tax" If you live and operate in another state, forming in Nevada does not save you tax. Your home state taxes income earned there, and you would have to register the Nevada LLC as a foreign LLC at home anyway. That means two filing fees, two registered agents, and two annual reports for one small business. Nevada is the right choice if you actually operate in Nevada. Otherwise form where you live.

How to start a Nevada LLC in 6 steps

Name it, appoint a Nevada registered agent, file the Articles plus the initial list and business license ($425 together), write an operating agreement, get a free EIN, then file the $350 annual list and license renewal.

1

Name your Nevada LLC

The name must be distinguishable from other Nevada entities and include "Limited-Liability Company," "LLC," "L.L.C.," "Limited Company," or a similar designator. Search it first in the Nevada business entity search so your filing is not kicked back.

2

Appoint a Nevada registered agent

Nevada requires a registered agent with a physical Nevada street address who signs a Registered Agent Acceptance that goes in with your Articles. You can be your own if you live in Nevada, or use a commercial agent. Northwest includes agent service free the first year with their $39 filing.

3

File the Articles, the initial list, and the business license together

This is the step that surprises people. With the Nevada Secretary of State you file the Articles of Organization ($75), the Initial List of Managers or Managing Members ($150), and the State Business License ($200) in one transaction: $425 total. Filing is done online through Nevada's SilverFlume portal.

4

Write an operating agreement

Nevada does not require one, but write it anyway. It sets out ownership and who can sign, it backs up your liability protection, and banks ask for it when you open the business account. A simple template covers a single-owner courier business.

5

Get a free EIN from the IRS

Your EIN is free at irs.gov and takes about ten minutes. You need it for the bank account, contracts, and hiring. Never pay a third-party site for one.

6

File the annual list and renew the business license

Every year you file an annual list ($150) and renew the state business license ($200), due by the last day of your anniversary month. That is $350 a year, one of the highest recurring costs in the country. File late and Nevada adds a $75 penalty on the list plus a penalty on the license.

Nevada LLC FAQs

How much does it really cost to start an LLC in Nevada?

The Articles are $75, but you also owe a $150 initial list and a $200 state business license, so $425 to start. Then $350 every year.

Should I form my LLC in Nevada if I live somewhere else?

Usually no. Your home state still taxes what you earn there, and you would have to register the Nevada LLC as a foreign LLC at home. That is double fees for one business.

When is the Nevada annual list due?

By the last day of your anniversary month. The list is $150 and the license renewal is $200, so $350 together. Late adds a $75 penalty on the list.

Does a Nevada LLC pay state income tax?

No, Nevada has no state income tax. But the $200 license and $150 list each year are a flat cost, and large businesses may owe the Commerce Tax.
