How to Start an LLC in Oregon (2026)

Last updated: August 28, 2026

To start an Oregon LLC, file the Articles of Organization with the Oregon Secretary of State for $100, name a registered agent with a real Oregon street address, and get a free EIN. Oregon then charges a $100 annual report, due on the anniversary date of your original filing, with a renewal notice sent about 45 days ahead.

Quick note: we're operators, not attorneys or accountants. This is general educational info, not legal or tax advice. Oregon is strict about the registered agent address: no PO boxes, mail forwarding services, or virtual offices.

Oregon is a flat $100 in and $100 a year, which is easy to budget for. The part that trips people up is the address rules and the anniversary-date deadline, which moves depending on when you filed. Here is the whole process in plain English, written for people starting something real like a courier route.

Oregon will reject a mailbox address The registered agent needs an Oregon street address suitable for personal delivery of legal papers. Oregon explicitly rules out a PO Box, a commercial mail receiving agency, a mail forwarding service, or a virtual office, and the LLC cannot be its own registered agent. If you are out of state or working from home, that means a real agent service, not a mailbox rental.

How to start a Oregon LLC in 6 steps

Name it, appoint an Oregon registered agent with a real street address, file the Articles ($100), write an operating agreement, get a free EIN, then renew for $100 on your anniversary.

1

Name your Oregon LLC

The name must contain "Limited Liability Company" or the abbreviation "LLC" or "L.L.C.," and be distinguishable from other Oregon entities. Search it with Find a Business before filing. Note that Oregon publishes filing information as public record, so choose your addresses with that in mind.

2

Appoint an Oregon registered agent

The agent is an individual or registered business with an Oregon street address who has agreed to accept legal documents. The address has to be suitable for personal delivery: no PO boxes, mail receiving agencies, forwarding services, or virtual offices, and the LLC cannot serve as its own agent. Northwest includes agent service free the first year with their $39 filing.

3

File the Articles of Organization

File with the Oregon Secretary of State Corporation Division. The form lists a required processing fee of $100, which is nonrefundable. Oregon also asks for the principal office as a physical street address and the name of an individual with direct knowledge of the operations, which is unusual and catches people out.

4

Write an operating agreement

Oregon does not require one, but write it anyway. It sets out ownership, management, and signing authority, it backs your liability protection, and banks generally ask for it. Oregon's own form even notes that your bank may want the member and manager names, so having this ready saves a second trip.

5

Get a free EIN from the IRS

Your EIN is free at irs.gov and takes about ten minutes. You need it for the business bank account, contracts, and hiring. Never pay a third-party site for one. Oregon even publishes a "Don't Be Misled" page about lookalike solicitations, which is worth two minutes of your time.

6

Renew for $100 every year on your anniversary

Oregon requires an annual report, $100, due on the anniversary date of your original filing rather than a fixed statewide date. The Corporation Division mails a renewal notice about 45 days ahead. Miss it and the LLC eventually goes inactive, so put the date in your calendar the day you form.
